Terms and Conditions

These Terms and Conditions ("Agreement") govern your general use of the services provided by devstaff.ai ("devstaff.ai," "we," "us," or "our"). By engaging with our services or entering into a project with us, you ("Client") agree to be bound by this Agreement.

For avoidance of doubt, this Agreement is supplemental and subject to the terms outlined in the applicable Master Services Agreement (MSA) and Statement(s) of Work (SoW), which govern all commercial, legal, and operational specifics of our engagement.

1. Scope of Services

devstaff.ai provides AI-powered recruitment and talent acquisition solutions, including but not limited to:

AI-assisted candidate sourcing and screening
Automated job-candidate matching
End-to-end recruiting coordination and workflow optimization
Integration of LLM-driven automations and prompt-based pipelines

Specific deliverables, timelines, and performance criteria will be defined in the SoW signed for each engagement.

2. Use of Technology and Tools

Clients understand and acknowledge that devstaff.ai uses proprietary tools and AI workflows to enhance talent delivery. All IP, prompts, automations, and tools developed under this implementation remain the property of devstaff.ai unless otherwise agreed in writing.

3. Client Responsibilities

The Client agrees to:

Provide timely and accurate information required for successful project delivery.
Treat all candidate and proprietary information as confidential.
Comply with applicable data privacy and employment regulations in all jurisdictions involved.

4. Fees, Payment, Warranty, and Termination

All terms related to:

Pricing and Invoicing
Payment Schedules and Methods
Performance Guarantees or Replacements
Warranties or Service Levels
Termination Rights or Remedies

...are governed by the Master Services Agreement (MSA) and applicable Statement(s) of Work (SoW). These documents take precedence over this Agreement in the event of any conflict.

5. Candidate Ownership

Candidates introduced by devstaff.ai are deemed proprietary to us for a period of twelve (12) months from the date of introduction. Direct engagement with such candidates outside the agreed scope without prior written consent may result in applicable fees, as outlined in the MSA or SoW.

6. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary information exchanged throughout the engagement, including business plans, candidate data, compensation structures, and AI workflows.

7. Limitation of Liability

Except as otherwise agreed in the MSA, devstaff.ai shall not be liable for any indirect, incidental, special, or consequential damages. Total liability shall be limited to the amounts actually paid by the Client under the applicable SoW.

8. Governing Law

This Agreement and all related contracts shall be governed by and interpreted under the laws of Romania.

9. Amendments

devstaff.ai reserves the right to update or amend these Terms and Conditions at any time. Material changes will be communicated in writing, and continued use of our services constitutes acceptance of the updated terms.
